Terms of Service

Please read these Terms of Service ("Terms") carefully before using the TeenAegis website and Guardian AI platform operated by TeenAegis, Inc. ("TeenAegis," "we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or using any part of the TeenAegis Service, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding agreement; (c) you are not prohibited from using the Service under applicable law; and (d) you agree to these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization (such as a school district, law firm, or media company), you represent that you have authority to bind that organization to these Terms, and references to "you" include that organization.

2. Description of Service

TeenAegis provides an intelligence-led digital safety platform for parents, families, educational institutions, legal professionals, and policy researchers. The Service includes:

  • Guardian AI — an AI-powered assistant that helps parents navigate conversations about teen online safety.
  • Threat intelligence briefings, Platform Danger Index, and real-time alert monitoring.
  • Crisis Response coordination and escalation tools.
  • School Command Center for institutional safety teams.
  • Legal intelligence databases and litigation support data.
  • TeenAegis Protocol — an educational game for digital safety awareness.
  • A free trial available to unauthenticated visitors (limited to 5 messages per session).

The Service is intended for adults (parents, guardians, school administrators, legal professionals, and institutional users). It is not intended for use by minors.

3. Accounts and Registration

You must create an account to access the full Service. You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that occurs under your account; and (c) notifying us immediately at [email protected] of any unauthorized use of your account.

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, engage in fraudulent activity, or pose a risk to other users or to children.

4. Subscription Plans and Billing

All prices are in USD. Prices are subject to change with 30 days' written notice. Monthly subscriptions renew automatically unless cancelled. You may cancel at any time through your Billing settings; cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months.

All payments are processed by Stripe, Inc. By subscribing, you authorize Stripe to charge your payment method on a recurring basis. If a payment fails, we will attempt to retry the charge and may suspend your account if payment cannot be collected within 7 days.

Refund Policy. Subscription fees are non-refundable except as required by applicable law or at our sole discretion. Crisis Response fees are non-refundable once services have commenced. If you believe you were charged in error, contact [email protected] within 30 days of the charge.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable federal, state, local, or international law or regulation.
  • Harass, threaten, defame, or harm any person.
  • Attempt to gain unauthorized access to our systems, servers, or other users' accounts.
  • Reverse engineer, decompile, disassemble, or extract source code, algorithms, or methodologies from the Service.
  • Use the Service to monitor or surveil any person without their knowledge in a manner that violates applicable law.
  • Submit false, misleading, or fraudulent information through any form or registration process.
  • Use automated tools (bots, scrapers, crawlers) to access the Service without our prior written permission.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.
  • Use the Service to generate, distribute, or facilitate child sexual abuse material (CSAM) or any content that exploits or harms minors.
  • Interfere with or disrupt the integrity or performance of the Service or related systems.
Zero Tolerance: Any use of the Service to facilitate harm to minors, generate CSAM, or circumvent child safety systems will result in immediate account termination, preservation of all relevant data, and mandatory reporting to law enforcement.

6. Guardian AI — Important Limitations and Disclaimers

Not a substitute for professional advice. Guardian AI provides general safety information and guidance. It is not a licensed mental health service, legal service, medical service, or law enforcement tool. Nothing in Guardian AI's responses constitutes legal advice, medical advice, or a guarantee of safety outcomes.

Emergency situations. If you believe a child is in immediate danger, call 911 or your local emergency services immediately. Do not rely solely on Guardian AI in emergency situations.

AI limitations. Guardian AI responses are generated by artificial intelligence and may occasionally be inaccurate, incomplete, outdated, or inappropriate for your specific situation. TeenAegis does not warrant the accuracy, completeness, or reliability of any AI-generated response. Always use your own judgment and consult qualified professionals for serious matters.

Crisis escalation. When Guardian AI detects language indicating imminent risk to a child's safety, it will provide crisis resources and may notify TeenAegis staff. This is a safety feature, not surveillance. In cases of imminent danger, we may contact emergency services.

No attorney-client relationship. Use of the legal intelligence features, litigation support data, or any legal content on the Service does not create an attorney-client relationship between you and TeenAegis.

7. School and Institutional Users (FERPA Compliance)

School districts and institutional subscribers agree to use the Service in compliance with the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. § 1232g, and applicable state student privacy laws.

  • You represent that you have authority to enter into a data processing agreement on behalf of your institution.
  • You will not submit personally identifiable student information (as defined by FERPA) to the Service without appropriate legal authorization.
  • TeenAegis processes aggregate, de-identified data for institutional subscribers and does not create individual student profiles.
  • You are responsible for obtaining any required parental consent before using the Service in connection with student data.
  • School district contracts include a Data Processing Addendum (DPA) available upon request at [email protected].

8. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, software, AI models, threat intelligence methodologies, scoring algorithms, and the Platform Danger Index — are owned by TeenAegis, Inc. and are protected by copyright, trademark, trade secret, and other intellectual property laws.

You retain ownership of any content you submit to the Service (such as profile information). By submitting content, you grant TeenAegis a limited, non-exclusive, royalty-free license to use that content solely to provide and improve the Service.

Proprietary Intelligence. The TAIM (TeenAegis Intelligence Methodology) scoring system, Platform Danger Index algorithms, and threat intelligence models are proprietary trade secrets of TeenAegis, Inc. Any attempt to reverse engineer, extract, or replicate these systems is a violation of these Terms and applicable trade secret law.

DMCA Notice. If you believe content on the Service infringes your copyright, send a notice to [email protected] with: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy under penalty of perjury.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF INFORMATION.

TEENAEGIS DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE; (B) THE SERVICE WILL PREVENT ALL HARM TO CHILDREN OR DETECT ALL ONLINE THREATS; (C) ANY INFORMATION PROVIDED THROUGH THE SERVICE IS ACCURATE, COMPLETE, OR CURRENT; OR (D) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEENAEGIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL TEENAEGIS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO TEENAEGIS IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100 USD).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless TeenAegis, Inc. and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights, including intellectual property rights or privacy rights; or (d) your submission of false or misleading information to the Service.

12. Termination

You may terminate your account at any time through your account settings or by contacting [email protected]. Termination does not entitle you to a refund of any prepaid fees.

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms or if we determine, in our sole discretion, that your use of the Service poses a risk to other users, to children, or to the integrity of the Service.

Upon termination, your right to use the Service will immediately cease. Sections 7, 8, 9, 10, 11, and 14 survive termination of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by: (a) sending an email to the address associated with your account at least 14 days before the change takes effect; and (b) posting a prominent notice on our website. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.

14. Governing Law, Arbitration, and Class Action Waiver

Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Mandatory Arbitration. EXCEPT FOR CLAIMS THAT MAY BE BROUGHT IN SMALL CLAIMS COURT, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES. The arbitration shall be conducted in Wilmington, Delaware, or by video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND TEENAEGIS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

Exceptions. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims related to intellectual property infringement may be brought in federal court.

Opt-Out. You may opt out of the arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
